2Information About Gajo Livestock

Gajo Livestock is a Cameroonian agritech company and provider of digital solutions developing services for the agriculture and livestock sectors in Africa.

Gajo Livestock aims to contribute to the digital transformation of the agricultural and livestock sectors by facilitating access to markets, veterinary services, experts, agricultural financing, management tools, and technologies adapted to producers.

The Platform connects livestock farmers, agricultural producers, buyers, veterinarians, experts, service providers, and other stakeholders in the agricultural and livestock value chain.

The Gajo Livestock website currently features, among others, Farm Trade, Open Farm, Agri-Credit, and Farm Genius AI, as well as various expertise, training, animal health, and agricultural services.

3Use of the Platform

The Gajo Livestock Platform allows users, depending on their profile and the services available, to:

• buy and sell products and services related to agriculture and livestock;
• access Farm Trade to facilitate connections between producers and buyers;
• manage certain agricultural or livestock farming activities through Open Farm;
• access Agri-Credit services, subject to the applicable terms and conditions;
• access learning resources and digital assistance through Farm Genius AI;
• request veterinary services and assistance;
• access experts in livestock farming, nutrition, agriculture, and other relevant fields;
• access animal identification and traceability services;
• access training, technical support, and operational assistance;
• access, where available, specialized solutions in agriculture, energy, irrigation, and other related fields.

The features and services available to each user may vary depending on their profile, location, subscription, service availability, and the specific terms applicable to each service.

Certain features may require the creation of an account or the provision of accurate and up-to-date information.

You are responsible for the accuracy and completeness of the information you provide to Gajo Livestock.

The use of personal data provided to Gajo Livestock is also governed by our Privacy Policy and applicable data protection laws.

You must promptly notify us of any material changes to the information associated with your account.

4Account, Credentials, and Security

Where an account is required, you are responsible for maintaining the confidentiality of your login credentials, passwords, access codes, or other authentication information.

5Acceptable Use and Restrictions

You agree to use the Platform lawfully, responsibly, and in accordance with these Terms.

You must not:

• use the Platform for illegal or fraudulent purposes;
• knowingly provide false or misleading information;
• create multiple accounts for the purpose of circumventing applicable rules or restrictions;
• impersonate another person or organization;
• use another user's account without authorization;
• use the Platform to organize or promote fraudulent activities;
• use the Platform in connection with pyramid schemes, fraudulent operations, or illegal promotions;
• publish or transmit content that infringes upon the rights of third parties;
• infringe upon the intellectual property rights of Gajo Livestock or any third party;
• introduce viruses, malware, or other elements capable of damaging the Platform;
• attempt to circumvent the Platform's security measures;
• disrupt, overload, or compromise Gajo Livestock's systems;
• use unauthorized automated tools to collect data from the Platform;
• use Gajo Livestock services in a manner likely to harm other users or Gajo Livestock's activities.

Any serious or repeated violation of these rules may result in the suspension or termination of the relevant account.

6Prices, Fees, Payments, and Financial Services

Certain services offered by Gajo Livestock may be subject to fees, commissions, delivery charges, subscriptions, or other costs.

The applicable prices and fees are those communicated at the time of the order, subscription, or use of the relevant service.

Where the Platform offers agricultural financing or credit services, such services are subject to specific eligibility, application, approval, duration, repayment, and, where applicable, collateral requirements.

The availability of a credit application service on the Platform does not constitute a guarantee that credit will be granted.

Gajo Livestock's Agri-Credit services may cover products or services such as animal feed, livestock equipment, veterinary consultations and veterinary care, as well as other agricultural products or services, subject to the applicable terms and conditions.

Users benefiting from credit must comply with the repayment terms communicated to them.

Applicable taxes and other tax obligations shall be borne by the party legally responsible for paying them, in accordance with applicable laws and regulations.

7Orders, Products, Services, and Transactions

Gajo Livestock may facilitate connections between producers, sellers, buyers, experts, and other stakeholders in the agricultural and livestock value chain.

Information relating to products, quantities, prices, availability, delivery terms, and other characteristics must be provided accurately by the relevant parties.

Where a transaction is concluded between users or with a seller operating through the Platform, the specific terms of that transaction may supplement these Terms.

Gajo Livestock may provide payment, delivery, or assistance mechanisms associated with certain transactions.

The availability of a product or service may vary depending on location, stock levels, service provider capacity, and operational circumstances.

8Links to the Platform

You may create a link to the Gajo Livestock homepage, provided that such link is established fairly and lawfully and does not imply that Gajo Livestock endorses, authorizes, or sponsors your website or activities where no such relationship exists.

You must not:

• display Gajo Livestock content within a frame or interface that gives the impression that it forms part of your own website;
• use Gajo Livestock trademarks, logos, or graphic elements without authorization;

By posting content on the Platform, you represent that you have all necessary rights to publish such content and grant Gajo Livestock the right to use it to the extent necessary to operate, promote, and improve its services, subject to applicable laws and our Privacy Policy.

Gajo Livestock's digital and artificial intelligence tools are intended to facilitate access to information and assistance.

They do not necessarily replace a physical examination of an animal or the professional judgment of a veterinarian.

In the event of an emergency or a situation requiring immediate intervention, the user must contact a qualified professional or the appropriate competent authorities.

Gajo Livestock does not guarantee that a diagnosis or recommendation provided through a digital tool will be accurate in all circumstances.

12Service Availability

Gajo Livestock strives to keep the Platform accessible and operational.

However, certain services may be temporarily unavailable, including due to:

• maintenance work;
• updates;
• technical problems;
• telecommunications network failures;
• issues involving third-party service providers;
• circumstances reasonably beyond Gajo Livestock's control;
• regulatory or administrative restrictions;
• emergency situations.

Gajo Livestock may modify, suspend, or discontinue certain features of the Platform, temporarily or permanently.

13Disclaimer of Warranties and Limitation of Liability

The Platform and its services are provided subject to availability.

You use the Platform at your own risk.

To the extent permitted by applicable law, Gajo Livestock shall not be liable for damages arising directly or indirectly from:

14User Responsibility and Indemnification

You agree to defend and, to the extent permitted by law, indemnify Gajo Livestock, its directors, officers, employees, representatives, contractors, and partners against any claim, loss, damage, cost, or reasonable expense arising out of or relating to:

• your unlawful or abusive use of the Platform;
• infringement of a third party's rights;

This provision does not limit any rights to which you may be entitled under mandatory applicable legal provisions.

15Entire Agreement

These Terms, together with the Privacy Policy and any other policy or specific terms expressly applicable to a particular service, constitute the agreement between you and Gajo Livestock concerning your use of the Platform.

Additional terms may apply to certain services, including financing, commerce, delivery, subscription, or professional services.

In the event of a conflict between these Terms and specific terms applicable to a particular service, the specific terms may prevail for that service to the extent of the conflict.

16Waiver

Gajo Livestock's failure to exercise or enforce any right or remedy provided under these Terms shall not constitute a waiver of such right or remedy.

A waiver of the enforcement of a particular provision shall not constitute a permanent waiver of that provision or any other provision.

17Headings

The headings of the various sections are provided solely for convenience and do not affect the interpretation of these Terms.

18Severability

If any provision of these Terms is declared invalid, illegal, or unenforceable by a competent authority, that provision shall be interpreted or modified to the extent necessary to make it enforceable where legally possible.

If this is not possible, the provision concerned shall be removed to the extent necessary, without affecting the validity of the remaining provisions of these Terms.

19Force Majeure

Gajo Livestock shall not be liable for any delay or failure to perform an obligation where such delay or failure results from an event reasonably beyond its control.

Such events may include, in particular, natural disasters, fires, floods, epidemics, public health emergencies, civil unrest, conflicts, acts of public authorities, major telecommunications failures, significant power outages, cyberattacks, failures of third-party service providers, or any other unforeseeable or uncontrollable event.

20Assignment

You may not transfer, assign, or delegate your rights or obligations under these Terms without the prior written consent of Gajo Livestock where such consent is required.

Gajo Livestock may transfer or assign its rights and obligations in connection with a restructuring, merger, acquisition, reorganization, or any other business transaction, subject to applicable law.

21No Partnership or Agency

Your use of the Gajo Livestock Platform or services does not automatically create a partnership, joint venture, agency, employment, or representative relationship between Gajo Livestock and a user.

Unless otherwise agreed in writing, no user is authorized to represent Gajo Livestock or make commitments on its behalf.

22Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the applicable laws of the Republic of Cameroon.

The parties shall first endeavor to resolve amicably any dispute arising out of or relating to these Terms or the use of the Platform.

If no amicable settlement can be reached, the dispute may be submitted to the competent courts of Cameroon, in accordance with the applicable jurisdictional rules.

23Amendments to These Terms

Gajo Livestock may amend these Terms where necessary, including to reflect changes concerning its services, practices, applicable laws, or security requirements.

The updated version will be published on the Platform together with its effective date or update date.

Continued use of the Platform after the updated Terms take effect may constitute acceptance of the amendments, to the extent permitted by applicable law.
